Terms of Service

These terms govern access to and use of the Impala platform ("Service"), operated by SMS One Ltd ("we", "us"). By using the Service you agree to these terms on behalf of the organisation you represent ("Customer").

1. The Service

Impala is a multi-tenant software platform that helps licensed waste-collection companies manage customers, operations, billing and accounting. Access is provided on a subscription basis, on the customer's own subdomain, subject to the plan agreed with us.

2. Accounts & access

Access requires an account provisioned by us or your organisation's administrator. You are responsible for keeping credentials confidential and for activity under your account. Accounts are personal and must not be shared.

4. Customer data & funds

Customers retain ownership of their data. We act as processor under our Privacy Policy. The platform does not custody customer funds: payments settle directly to the Customer's own payment-service-provider merchant accounts.

5. Fees

Subscription fees and any usage-based charges are as agreed in your order. Fees are billed in advance and are non-refundable except where required by law.

6. Availability

We work to keep the Service available and secure but do not warrant uninterrupted operation. Planned maintenance and service levels, where applicable, are described in your order or a separate service-level agreement.

7. Liability

To the maximum extent permitted by law, the Service is provided "as is", and our aggregate liability is limited to the fees paid for the Service in the twelve months preceding the claim. We are not liable for indirect or consequential loss.

8. Termination

Either party may terminate as set out in the order. On termination we make Customer data available for export for a reasonable period, then delete it in line with the Privacy Policy.
